Terms of Service

1. Acceptance of Terms

By engaging Abhayam Technologies LLC ("Company", "we", "us", or "our") for services, you ("Client", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not engage our services.

2. Services Provided

Abhayam Technologies LLC provides custom software development services including but not limited to:

• • Web application development and design
• • AI agent development and implementation
• • Business process automation solutions
• • Technical consulting and advisory services
• • System integration and API development

3. Project Agreements and Scope

3.1. Each project is governed by a separate Statement of Work ("SOW") or project agreement that defines specific deliverables, timelines, and costs.

3.2. Changes to project scope require written agreement and may result in additional costs and timeline adjustments.

3.3. Client is responsible for providing timely feedback, content, assets, and access necessary for project completion.

4. Payment Terms

4.1. Payment terms are specified in individual project agreements. Standard terms require 50% upfront payment with remaining balance due upon project completion.

4.2. Late payments may incur a 1.5% monthly service charge.

4.3. All prices are in USD unless otherwise specified.

4.4. Refunds are provided only as specified in individual project agreements.

5. Intellectual Property Rights

5.1. Upon full payment, Client receives ownership of custom-developed code and deliverables specific to their project.

5.2. Company retains rights to pre-existing intellectual property, frameworks, libraries, tools, and methodologies.

5.3. Company may use general knowledge, skills, and experience gained during the project for other purposes.

5.4. Client warrants that all materials provided to Company do not infringe third-party intellectual property rights.

6. Confidentiality

6.1. Both parties agree to maintain confidentiality of proprietary information disclosed during the engagement.

6.2. This obligation survives termination of the agreement for a period of five (5) years.

7. Warranties and Disclaimers

7.1. Company warrants that services will be performed in a professional manner consistent with industry standards.

7.2. Except as expressly stated, all services are provided "AS IS" without warranties of any kind.

7.3. Company does not warrant that deliverables will be error-free or meet Client's specific requirements beyond what is documented in the project agreement.

8. Limitation of Liability

8.1. Company's total liability shall not exceed the total amount paid by Client for the specific project.

8.2. Company shall not be liable for indirect, incidental, consequential, or punitive damages.

8.3. Client agrees to indemnify Company against claims arising from Client's use of deliverables.

9. Termination

9.1. Either party may terminate with 30 days written notice.

9.2. Upon termination, Client pays for work completed to date.

9.3. Company may terminate immediately for non-payment or material breach.

10. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond their reasonable control, including but not limited to acts of God, government actions, or technical failures.

11. Dispute Resolution

11.1. Parties agree to attempt resolution through good faith negotiation.

11.2. Unresolved disputes shall be settled through binding arbitration in accordance with the American Arbitration Association rules.

12. Governing Law

These Terms are governed by the laws of the United States and the state of incorporation of Abhayam Technologies LLC, without regard to conflict of law principles.

13. Modifications

Company reserves the right to modify these Terms at any time. Updates will be posted on our website, and continued engagement constitutes acceptance of modified Terms.
